Production Loan Financing & Credit Facility Support

Complete production finance advisory support and diligence review including: term sheet review; loan and security agreement drafting; production and E&O insurance review; closing document indices and tracking; closing binder assembly; post-closing releases and terminations; collection account management agreement review.

Chain-of-Title and IP Diligence

Complete chain-of-title document review and drafting including option/purchase agreements, writer agreements, publisher’s releases, title transfers, quitclaims and assignments, copyright, patent and trademark searches and filings including completing and filing Copyright Office Form PA and Form CO registrations, review of summary copyright research and title reports, chain-of-title index build-out.

Acquisition, Licensing, and Talent Documentation

First drafts, for attorney review, of chain-of-title agreements, writer/director/talent agreements, distribution license agreements (including notices of assignment and directions to pay), licensing intermediary security agreements (i.e., Freeway, Fintage, Film & TV House), laboratory agreements and production services agreements.

Guild and Completion Bond Documentation

SAG-AFTRA/DGA/WGA signatory registration, intercreditor and interparty agreements, step-back letters, completion guarantee-related diligence and coordination including completion guaranty agreement review and producer’s completion agreement reconciliation.

Corporate and Lender Diligence

Corporate charter document review, drafting and registration filings, good-standing certificates, collateral schedule review for credit facilities and borrower/guarantor diligence including UCC and tax lien searches.

Tax Credit Documentation Support

Preparation and organization of documentation supporting production tax credit applications and compliance for inclusion as film financing loan collateral.

International Distribution Documentation and Sales-Projection Review

Informed by the founder’s direct production and distribution experience, Longview supports review and drafting of international distribution documentation and the review of sales estimates/projections including sales agency agreements, sales agent interparty agreements, power of sale, notices of assignment and directions to pay, escrow agreements.
